Terms & Conditions – Pulse Digital Media Ltd
- Agreement
By engaging Pulse Digital Media Ltd (“Pulse”), the client agrees to these Terms & Conditions.
- Services
Pulse will provide website design, hosting, and related digital services as outlined in the selected package or agreed proposal.
- Payment Terms
- All monthly packages are billed via Direct Debit (DD)
- Payments are due monthly in advance
- Failure to collect payment does not waive the obligation to pay
- Non-Payment
- If payment is missed, Pulse reserves the right to:
- Suspend the website and associated services immediately
- Reinstate services only once outstanding balances are cleared
- Continued non-payment may result in permanent removal of the website
- Cancellation
- Clients may cancel at any time
- Cancellation must be submitted in writing
- Services will terminate at the end of the current billing period
- No refunds are provided for partial months
- Domain Ownership
- All domain names registered by Pulse remain the property of Pulse Digital Media Ltd
- Clients may request to purchase the domain at any time
- Domain transfer is subject to:
- Negotiation
- Settlement of all outstanding balances
- Intellectual Property (IP)
- All websites, designs, code, and digital assets remain the property of Pulse Digital Media Ltd
- Clients are granted a license to use the website during the subscription period
- Full ownership may be transferred only:
- Upon separate agreement
- Subject to a negotiated fee
- Hosting & Maintenance
- Hosting is included within monthly packages
- Pulse will take reasonable steps to ensure uptime and security
- Pulse is not liable for downtime caused by:
- Third-party providers
- Hosting outages
- Force majeure events
- Client Responsibilities
The client agrees to:
- Provide accurate content and materials
- Ensure they have rights to all provided content
- Respond to requests in a timely manner
Pulse is not responsible for delays caused by lack of client communication.
- Revisions & Scope
- Each package includes a set number of revisions
- Additional revisions or changes outside scope may incur extra charges
- Pulse reserves the right to quote for out-of-scope work
- Content & Legal Compliance
- Clients are responsible for:
- Website content accuracy
- GDPR compliance
- Legal notices (privacy policy, cookies, etc.)
- Pulse can assist but does not accept liability for legal compliance
- Limitation of Liability
Pulse shall not be liable for:
- Loss of revenue, profits, or business
- Indirect or consequential loss
- Any issues arising from third-party integrations
- Termination by Pulse
Pulse reserves the right to terminate services if:
- The client breaches these terms
- The client engages in unlawful or abusive behaviour
- Payments remain outstanding
- One-Off Projects
- One-off builds require a signed agreement and upfront or staged payments
- Ownership terms remain as above unless otherwise agreed in writing
- Amendments
Pulse may update these Terms & Conditions at any time. Continued use of services constitutes acceptance.
- Governing Law
These terms are governed by the laws of Scotland.
